Zappfresh to Acquire Majority Stake in Avyom Foodtech for ₹7.5 Crore

Board Approval and Deal Structure
Delhi NCR-based meat delivery startup Zappfresh has approved the acquisition of a 51 percent stake in Avyom Foodtech Private Limited through a capital infusion of ₹7.5 crore via private placement. The transaction is expected to be completed within a period of three to nine months, subject to customary conditions.

Strategic Rationale
Zappfresh said the acquisition will enable its entry into the ready food solutions segment, including ready-to-eat and ready-to-cook categories. The move also supports the company’s plans to expand into overseas export markets, adding a new growth lever beyond its core fresh meat delivery business.

Capital Deployment Plan
According to regulatory filings, the capital infusion into Avyom Foodtech will be deployed in a phased manner, in line with the business transfer agreement. The investment is aimed at scaling manufacturing capabilities and integrating processed food operations into Zappfresh’s portfolio.

About Avyom Foodtech
Avyom Foodtech was incorporated in 2022 by Zappfresh directors Deepanshu Manchanda and Priya Aggarwal. The company is engaged in producing frozen and ambient food products, including snacks, gravies, sauces and allied preparations. Avyom was earlier incorporated as an edtech entity under the name IEY Education Pvt Ltd and later pivoted to food processing. For FY25, Avyom reported a turnover of ₹14.9 lakh, down about 32 percent year-on-year.

Asset Acquisition by Avyom
Avyom has entered into a binding agreement to acquire the food processing business of Ambrozia Frozen Foods through a slump sale. The transaction includes around five acres of land, a functional processing facility, plant and machinery, along with the assumption of related liabilities. Ambrozia operates a facility supporting over 150 SKUs and serves institutional and QSR clients.

Zappfresh Expansion and Financials
Founded in 2015, Zappfresh operates in Delhi NCR and Bengaluru and listed on the BSE SME platform in October 2025. The company has revised its IPO proceeds utilisation, increasing allocation for acquisitions to ₹12.2 crore. In H1 FY26, Zappfresh reported a net profit of ₹7 crore on revenue of ₹95.6 crore.
