Transaction Overview
HCLTech has announced the acquisition of the telecom solutions business of Hewlett Packard Enterprise for approximately $160 million in an all-cash deal. The acquisition is aimed at strengthening HCLTech’s position in the global telecom services market, particularly in next-generation areas such as 5G network transformation.
Strategic Rationale
India’s third-largest IT services company said the acquisition will enhance its capabilities in network transformation, network as a service (NaaS), and AI-led autonomous networking. The move aligns with HCLTech’s broader strategy to expand its high-value, product- and IP-led service offerings for global communication service providers.
Talent and Global Footprint
As part of the transaction, around 1,500 engineering and telecom specialists from 39 countries will transition to HCLTech’s global delivery organisation. The addition of this talent pool is expected to support the scaling of HCLTech’s telecom business and strengthen its execution capabilities across multiple geographies.
Background of the Acquired Business
The telco solutions unit was earlier part of HPE’s Communications Technology Group. HCLTech had previously acquired select assets from this group in 2024. The business being acquired now supports more than one billion devices across nearly 200 deployments worldwide, underscoring its scale and maturity.
Technology Capabilities
The portfolio includes solutions for operations support systems, home subscriber server, and 5G subscriber data management. It also offers AI-driven, closed-loop network automation tools designed to improve network performance and enable efficient monetisation for telecom operators.
Management Commentary
Anil Ganjoo, chief growth officer and global head of TMT at HCLTech, said the integration of the HPE team and its intellectual property would accelerate the company’s shift towards higher-value services and non-linear growth. HPE executive vice president Rami Rahim noted that the transaction would create long-term benefits for communication service providers as both companies continue to focus on innovation within the sector.
